1. Acceptance of Terms

By creating an account, accessing, or using the Chalked mobile application and related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Chalked Fantasy Inc., a Delaware corporation ("Chalked," "we," "us," or "our").

We may update these Terms from time to time. When we make material changes, we will notify you through the app or by email. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.

2. Eligibility

To use Chalked, you must:

Be at least 18 years of age.
Be legally capable of entering into a binding agreement.
Not be prohibited from using the Platform under applicable law.

By creating an account, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your age and eligibility at any time and to suspend or terminate accounts that do not meet these requirements.

3. Nature of the Platform

3.1 Fantasy Sports Competition

Chalked is a fantasy sports competition platform. Users build parlay slips using real sportsbook odds, compete against other users in leagues and challenges, and earn points, rankings, and tokens based on the outcomes of real sporting events.

3.2 No Real-Money Wagering

Chalked does not involve real-money wagering, gambling, or betting of any kind. No real money is staked, wagered, or risked on the outcome of any parlay, league, challenge, or competition on the Platform. All point calculations are based on a hypothetical standardized wager used solely for scoring purposes.

Tokens earned on the Platform are non-transferable, have no cash value, and cannot be exchanged for real currency. Tokens may only be redeemed for rewards within the Platform as described in Section 8.

3.3 Odds Display

The Platform displays real sportsbook odds sourced from third-party data providers for informational and scoring purposes only. The display of odds does not constitute an offer, solicitation, or facilitation of any wager. Chalked is not a sportsbook, bookmaker, or gambling operator.

4. Account Registration and Security

4.1 Account Creation

You must create an account to use the Platform. You agree to provide accurate, current, and complete information during registration and to update your information as necessary.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

Choose a strong, unique password.
Not share your account credentials with anyone.
Notify us immediately at support@chalkedfantasy.com if you suspect unauthorized access to your account.

We are not liable for any loss arising from unauthorized use of your account.

4.3 One Account Per Person

Each person may maintain only one account. Creating multiple accounts to gain an unfair competitive advantage, circumvent restrictions, or for any other reason is prohibited and may result in termination of all associated accounts.

5. User Conduct

5.1 Acceptable Use

You agree to use the Platform only for its intended purpose: participating in fantasy sports competitions, building parlays, competing in leagues and challenges, and engaging with the community.

5.2 Prohibited Conduct

You agree not to:

Use the Platform for any illegal purpose or in violation of any applicable law.
Manipulate, exploit, or abuse any scoring system, settlement process, league mechanic, or competition on the Platform.
Use automated scripts, bots, or other automated means to interact with the Platform without our prior written consent.
Create or use multiple accounts to gain an unfair advantage.
Harass, threaten, intimidate, or abuse other users through league chat, social feed, or any other communication feature.
Post content that is defamatory, obscene, hateful, discriminatory, or otherwise objectionable.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Attempt to gain unauthorized access to the Platform, other user accounts, or any systems or networks connected to the Platform.
Interfere with or disrupt the Platform or servers or networks connected to the Platform.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
Collect or harvest personal information of other users without their consent.
Use the Platform to promote or facilitate any form of real-money gambling or wagering.

5.3 Enforcement

We reserve the right to investigate and take appropriate action against any user who violates these Terms, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

6. Leagues and Competitions

6.1 League Structure

Users may create and join leagues with customizable rules set by the league commissioner (creator). League rules may include restrictions on allowed sports, markets, leg counts, daily submission limits, and scoring type.

6.2 Commissioner Authority

League commissioners have the ability to manage league settings, remove members, and start league seasons. Commissioners must exercise these powers fairly and in good faith. Chalked is not responsible for disputes between league commissioners and members.

6.3 Scoring and Settlement

Parlay results are determined by the outcomes of real sporting events as reported by our third-party data providers. Settlement is automated and based on the data available to us. While we strive for accuracy, we do not guarantee that settlement outcomes will be error-free.

In the event of a scoring or settlement error, we reserve the right to correct results, adjust points, or void affected parlays. Our determination of parlay results is final.

6.4 Fair Play

All users are expected to compete fairly. Collusion between users, exploitation of scoring mechanics, or any other form of cheating is prohibited. We reserve the right to void results, revoke points, and terminate accounts involved in unfair play.

7. Challenges and Quests

The Platform offers daily challenges and weekly quests with specific objectives and rules. By participating, you agree to the rules of each challenge or quest as displayed in the app. Rewards (tokens and experience points) are awarded upon completion of objectives as determined by our systems.

We reserve the right to modify, suspend, or discontinue any challenge or quest at any time without prior notice.

8. Tokens and Virtual Items

8.1 Nature of Tokens

Tokens are virtual items earned through participation and performance on the Platform. Tokens:

Have no real-world monetary value.
Cannot be purchased with real money.
Cannot be exchanged, traded, or transferred to other users.
Cannot be redeemed for cash or any form of real currency.
May be redeemed only for virtual rewards within the Platform, as available.

8.2 Token Grants

Tokens are earned through activities including but not limited to challenge completion, quest completion, parlay performance, and promotional events. The amount and availability of token rewards are determined by us and may change at any time.

8.3 No Ownership

You do not own tokens or any virtual items on the Platform. Tokens are a limited license granted to you to use within the Platform. We reserve the right to modify, adjust, or revoke tokens at any time, including in response to errors, abuse, or violations of these Terms.

8.4 Account Termination

If your account is suspended or terminated for any reason, you forfeit all tokens and virtual items associated with your account. No refund, compensation, or transfer will be provided.

9. User Content

9.1 Your Content

You retain ownership of content you create and post on the Platform, including social feed posts, comments, and profile information ("User Content"). By posting User Content, you grant Chalked a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, distribute, and modify your User Content in connection with operating and promoting the Platform.

9.2 Content Standards

User Content must not violate Section 5.2 (Prohibited Conduct) of these Terms. We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is inappropriate.

9.3 Reporting

Users may report content or behavior that violates these Terms through the reporting features available in the app. We will review reports and take appropriate action.

10. Intellectual Property

10.1 Our Intellectual Property

The Platform, including its design, code, features, graphics, logos, and branding, is owned by Chalked Fantasy Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Platform without our prior written consent.

"Chalked" and the Chalked logo are trademarks of Chalked Fantasy Inc. You may not use our trademarks without our prior written permission.

10.2 Third-Party Content

Sports odds, scores, team names, and related data displayed on the Platform are provided by third-party data providers and are the property of their respective owners. This data is used under license and is displayed for informational and scoring purposes only.

11. Third-Party Services

The Platform integrates with third-party services including but not limited to Supabase, PostHog, The Odds API, and Expo. Your use of the Platform may be subject to the terms and conditions of these third-party services. We are not responsible for the availability, accuracy, or practices of any third-party service.

12. Disclaimers

12.1 As-Is Basis

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Guarantee of Accuracy

We do not warrant that: (a) the Platform will be uninterrupted, secure, or error-free; (b) odds, scores, or settlement results will be accurate or timely; (c) any errors in the Platform will be corrected; or (d) the Platform will meet your expectations or requirements.

12.3 Sports Data

We rely on third-party data providers for odds, scores, and game results. We are not responsible for errors, omissions, or delays in third-party data that may affect settlement outcomes.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHALKED FANTASY INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

YOUR USE OF OR INABILITY TO USE THE PLATFORM.
ANY ERRORS IN SCORING, SETTLEMENT, OR POINT CALCULATIONS.
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA.
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM.
ANY OTHER MATTER RELATING TO THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU HAVE PAID TO CHALKED IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Chalked Fantasy Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your User Content.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

15.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at support@chalkedfantasy.com and attempt to resolve the dispute informally for at least 30 days.

15.3 Binding Arbitration

If we cannot resolve a dispute informally, you and Chalked agree to resolve any claims relating to these Terms or the Platform through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in the State of Delaware or, at your election, by telephone or videoconference. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.4 Class Action Waiver

YOU AND CHALKED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

15.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Termination

16.1 By You

You may terminate your account at any time by contacting us at support@chalkedfantasy.com or by using account deletion features within the app.

16.2 By Us

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination include but are not limited to: violation of these Terms, fraudulent activity, extended inactivity, or any conduct we determine to be harmful to the Platform or other users.

16.3 Effect of Termination

Upon termination: (a) your right to access and use the Platform immediately ceases; (b) all tokens and virtual items are forfeited; (c) we may delete your account data in accordance with our Privacy Policy; (d) provisions of these Terms that by their nature should survive termination will survive, including Sections 9, 10, 12, 13, 14, 15, and 17.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chalked regarding the Platform and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Notices

We may provide notices to you through the app, by email to the address associated with your account, or by other reasonable means. You may provide notices to us by emailing support@chalkedfantasy.com.
